Foundry

1. Agreement

These Terms of Service govern your use of Foundry, a service operated by Monkey Jockey, LLC ("Monkey Jockey," "we," "us," or "our"), including our website and application (the "Service"). By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.

Our Privacy Policy is part of these terms.

2. What Foundry is

Foundry is a software tool that connects to your brokerage accounts and displays information those accounts already contain — balances, positions, and transaction history — so you can see them together in one place.

3. Not advice, and not a broker

Foundry is not a broker-dealer, investment adviser, financial planner, bank, or financial institution. We are not registered with the SEC, FINRA, or any equivalent regulator, and we are not your fiduciary.

Nothing in the Service is investment, financial, legal, or tax advice, or a recommendation to buy, sell, or hold any security. Every decision you make about your money is yours. Consider consulting a qualified professional before acting.

4. Eligibility

You must be at least 18 years old and able to enter a binding contract. You may only connect accounts you own or are authorized to access.

5. Your account

Keep your credentials confidential and tell us promptly at security@monkey-jockey.com if you suspect unauthorized use. You are responsible for activity under your account. Give us accurate information and keep it current.

6. Brokerage connections are read-only

Foundry has read-only access to any brokerage account you connect. We cannot place, modify, or cancel orders, execute trades, move money, or change settings at your financial institution. Foundry does not provide trade execution.

Connections are made through SnapTrade, operated by Passiv Inc. You authenticate directly with your financial institution; we never receive your brokerage username or password. You can disconnect at any time in Foundry or by revoking access at your broker, as described in the Privacy Policy.

By connecting an account you authorize us to access and display that account's data on your behalf, and you confirm that doing so does not breach your agreement with your financial institution.

7. Accuracy of information

Data shown in Foundry comes from your financial institutions through third-party services. It may be delayed, incomplete, or wrong, and connections can break without notice. Your broker's own statements and records are authoritative. Do not rely on Foundry as your sole record, and verify anything that matters against your broker directly.

8. Acceptable use

You agree not to:

  • Connect accounts you do not own or have permission to access
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Probe, scan, or test the vulnerability of the Service without our written permission, or breach any security measure
  • Scrape or bulk-extract data from the Service by automated means
  • Resell, sublicense, or make the Service available to third parties on a service-bureau basis
  • Use the Service to break any law, rule, or regulation
  • Interfere with the Service's operation or place unreasonable load on our infrastructure

9. Fees and billing

Parts of the Service may require a paid subscription. Fees, billing period, and renewal terms are shown before you buy. Subscriptions renew automatically until you cancel, and you can cancel at any time in your account settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where the law requires otherwise. We will give you notice before a price change takes effect.

10. Intellectual property

The Service, including its software, design, and content, belongs to Foundry and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal use under these terms.

Your data stays yours. You grant us only the licence needed to operate the Service for you — to store, process, and display your data. We claim no ownership of it.

11. Third-party services

The Service depends on third parties, including SnapTrade (Passiv Inc.) and your own financial institutions. Their services are governed by their own terms and privacy policies. We are not responsible for their acts, omissions, availability, or the accuracy of data they supply.

12. Termination

You can stop using the Service and delete your account at any time in Settings → Account. We may suspend or terminate your access if you breach these terms, if we are required to by law, or if we discontinue the Service. If we discontinue the Service we will give you reasonable notice and an opportunity to export your data.

On termination, your right to use the Service ends. Sections 3, 7, and 10 through 17 survive.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that the data it displays is accurate or complete.

14. Limitation of liability

To the fullest extent permitted by law, Monkey Jockey, LLC and its members, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or investment losses, arising out of or relating to your use of the Service — whether the claim is in contract, tort, or any other theory, and even if we were advised such damages were possible.

Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars ($100).

Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Monkey Jockey, LLC from any claim, loss, liability, or expense, including reasonable legal fees, arising from your use of the Service, your breach of these terms, or your violation of any law or of a third party's rights.

16. Changes to these terms

We may update these terms. If a change is material we will notify you by email or in the application at least 30 days before it takes effect. Continuing to use the Service after that means you accept the revised terms. If you do not accept them, stop using the Service and delete your account.

17. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. You and Monkey Jockey, LLC agree to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Pennsylvania for any dispute arising out of or relating to these terms or the Service.
